STANDARD TERMS AND CONDITIONS OF SALE

  1. Quotations are open for acceptance thirty (30) days from issuance. After thirty days, price and terms are subject to change without notice.
  2. We reserve the right, at our option, either to reject work or to make an extra charge for finishing any base metal below our required standard.
  3. We assume no liability for any loss due to defective finish or damages on used parts, unknown or mixed material or material with a difference in composition subject to damages during process. Such defective merchandise will be returned to customer for refinishing or, at our option, stripped and refinished in our plant at customer’s expense.
  4. In special or experimental processing and finishing, our charges are not contingent upon the success of the work or the benefit derived therefrom by the customer.
  5. We assume no liability for any loss of or damage to merchandise or material while in transit to or from our factory, whether in trucks or vehicles owned by us, the customer, or any third person acting in our or the customer’s behalf, or for any loss of or damage to said merchandise or materials while the same are in our possession for any cause whatsoever, including, but not limited to, theft, fire, casualty, or act of God.
  6. Any customer purchase order that identifies a specification that has a “Cancellation Notice” of any type will be processed to the superseding specification and certified to that specification. All of the testing and quality requirements shall be that of the current specification. Examples (but not limited to) of this are:
    • AMS-A-8625A superseded by MIL-A-8625
    • AMS 2468G superseded by AMS 2469
    • AMS-QQ-P-35A superseded by AMS 2700
  7. We warrant that processing and finishing shall meet customer’s specifications supplied in writing with the order and that such processing and finishing shall be free from defect in material and workmanship. When customer specifies methods and procedures to be followed, we shall comply whether or not the desired result is indicated. We assume no responsibility for the correctness of such methods and procedures or the result when they are followed. We do not warrant that material furnished by customer is suitable or fit for processing and finishing.
    1. No claim for shortage in weight or count, or defect in quality, whether latent or patent, will be allowed unless presented in writing by certified mail within three (3) working days after receipt of material by the customer or the customer’s consignee to whom it is delivered, the customer hereby expressly assuming the risk of discovering such shortage or defect within such time. Any material found upon inspection by us to be defective in workmanship or material will be refinished by us without charge upon delivery to us FOB our plant, provided that such materials are returned in the same condition as when originally shipped by us.
    2. This warranty is expressly in lieu of all other warranties, express or implied. Our liability for any loss or damage of any nature, including without limit, direct, indirect and consequential damage, is limited to the customer’s cost of the material or merchandise or our processing and finishing price for such material, which ever amount is the lesser.
    3. Applicable law: Attorneys’ Fees in the event of Dispute – This order shall be construed according to the laws of the State of Florida, without regard to conflicts of laws principles. The courts of the State of Florida and Broward County, Florida or in The United States District Court for the southern district of Florida will have exclusive jurisdiction over any dispute arising hereunder. The prevailing party in any litigation arising hereunder will be entitled to recover its reasonable costs thereof, including, without limitation, attorneys’ fees and expenses.
  8. No claim will be allowed for shrinkage, expansion, deformity, rupture, or other alteration of material in finishing, nor for breakage in straightening, except by special separate written agreement.
  9. All quotations, orders or agreements, or any modifications thereof, are contingent upon and subject to any and all occurrences beyond our control, including but not limited to strikes or boycotts (whether occurring at our factory, your plant or factory, the plant or factory of any supplier, either of the customer or of ourselves, or elsewhere), accidents, theft, fires, war, shortage of materials, or equipment, casualty, or acts of God, and we shall not be liable for failure to perform any agreement for such causes. Should we notify you of our inability to perform any agreement for such causes, you are required at your own risk and responsibility, and at your own cost and expense, to pick up at our factory, the raw, finished or unfinished materials which we have belonging to you.
  10. Deliveries made by use within ten (10) days of the time specified shall be deemed in full compliance with our agreement. It is agreed that we shall have the right to make partial or installment deliveries, for which the customer shall pay at the contract price. Defective delivery or non-delivery with respect to any installment or partial delivery under this contract shall be a severable breach and shall not give the purchaser the right to treat the entire contract as breached.
  11. Any cancellation of order by customer shall be valid and effective only if accompanied by payment of an amount equal to twice the cost of actual labor and materials we have devoted to performance of the order, if any, plus ten percent of the total contract price. Such amount shall be as and for liquidated damages and not as a penalty.
  12. All customer’s merchandise in our possession shall be subject to a general lien for all monies owing by the customer to us, whether or not due or payable, and whether or not such monies are owing to us for work, labor or services rendered, or materials or equipment used in connection with such merchandise.
  13. Special tools, racks and fixtures required for the performance of the work described herein designated and built by us shall be and remain our property whether or not customer is charged for time and/or material in connection herewith.
  14. During storage and transportation of customer’s material, customer’s containers used for delivery to us shall be used and any damage resulting from such containers shall be at the customer’s risk. Should customer desire other packaging or containers, we will charge for material and handling and will provide such service upon receipt of written order.
  15. The provisions hereof constitute the entire agreement between the parties. Any changes, alterations, waivers or modifications with respect either as to the job performed or the terms of sale, or any other matter set forth herein must be in writing, signed by a duly authorized representative of the company. These terms and conditions shall apply to any order or agreement for the processing of any materials or merchandise.
  16. These Standard Terms and Conditions of Sale have been accepted as standard practices of the industry by the National Association of Metal Finishers. Seller represents that with respect to the production of the articles and/or the performance of the services covered by this invoice, it has fully complied with the provisions of the Fair Labor Standards Act of 1938, as amended.

PROCESSING AGREEMENTS:

  • A. Per AMS 2470, 2471 and 2472: CMF reserves the right to choose the contact point on any order that requires masking. This contact point may not be in an area where coating is not required. CMF will ensure that the contact point is minimal and the best interest and integrity of the part is maintained.
  • B. 2000 Series and other high Copper Content Alloys: Due to the high risk of damage from differential heating of alloy constituents in high copper aluminum alloys, such as 2000, 7000 series, forging and other related aluminum alloy(s) will be Hard Anodized (Type III) on a “Best Effort” basis and Certified Metal Finishing (CMF) shall have no liability for parts damaged during the process.
  • C. Intergranular Attack during Passivation: Chemical passivation of certain alloys comes with inherent risks. With any exotic or unknown stated materials, CMF will mitigate those risks by involving, you, the customer. Whenever possible, CMF will perform initial runs, samples, on hardware prior to chemical passivation the entire order to ensure there is not a reaction with the alloy you chose, and the chemicals used in the process. CMF shall have no liability for damage hardware when the incoming material or the condition upon receipt is also unknown.
  • D. Variations in Dyed Anodized Part(s): Visual appearance is not only formed by the color of the dye but also by the depth of the pores. This affects how light is absorbed or reflected off the surface. Different elements in the alloy affect the size and shape of pores and the absorption of dyes. All of these complex interactions make it impractical to expect an anodized finish that exactly matches a color swatch or sample. Rather, product developers should anticipate an allowable range of deviation from a target value. Further, deviation is possible from one lot to another, even under tightly controlled conditions. CMF will apply best practices to assure uniformity within an order or group of parts. When there’s no determination of alloys or mixed alloys or quantities exceeding a normal production load, CMF will use its best judgement and decision making to match all proceeding runs. Large order(s) and matching is at “Best Effort”
  • E. Welding: CMF recommends using for best appearance, prior to anodizing, 5356 welding rod. We discourage the use of other material, such 4043. If and when welding does occur, please keep in mind your “heat zone” and at what temperature the area was tempered. Discoloration may occur and CMF shall have no liability from this outside process. NOTE: If welding a joint is part of your operation and the material is hollow, please understand CMF will have to create drainage to prevent chemical attack from within.

Purchase Order Quality Clauses

The following quality assurance clauses become an integral part of the Certified Metal Finishing, Inc. Purchase Order to the extent specified herein.

Note: Clauses with alpha designations are applicable to all procurements. Procurements that do not relate to product realization will only have the alpha designated clauses apply.

Shipments will not be considered complete and invoice(s) shall not be honored until these requirements are fulfilled.

A. INVOICE REQUIREMENTS

At a minimum, all invoices shall contain the following to be properly received by Certified Metal Finishing, Inc.

  • Certified Metal Finishing, Inc. purchase order number
  • Description of goods ordered and/or item numbers
  • Quantity of goods ordered and/or item numbers
  • Cost of goods including all freight and handling charges
  • Payables contact information
  • Order date

No invoice will be honored until all goods are received unless expressly written by an authorized Certified Metal Finishing, Inc. representative.

B. NONCONFORMING MATERIAL

The seller is not authorized to perform material review action of nonconforming material with the intent of delivering such nonconforming material without the express written authorization from Certified Metal Finishing, Inc. Disposition of any departures specifications or purchase order requirements must be approved in writing by Certified Metal Finishing, Inc’s quality control manager prior to the shipment from the supplier’s facility

C. CHANGE OF PRODUCT OR PROCESS

The seller shall not implement any changes in design, materials, processes, or controls without prior written approval from Certified Metal Finishing, Inc. where Certified Metal Finishing, Inc. controls the specifications and processes. The intent of this requirement is to ensure that all material supplied under this order shall be homogeneous and the performance, reliability and quality of the material is not degraded. Changed articles shall be clearly identified in a manner different from previously supplied articles.

D. SUB-TIER FLOW DOWN

Supplier shall flow down to sub-tier suppliers the applicable requirements in the purchasing documents.

E. PREVENTION AND COUNTERFEIT

The Supplier shall plan, implement, and control processes, appropriate to the organization and the product, for the prevention of counterfeit or suspect counterfeit part use and their inclusion in product(s) delivered to CMF. NOTE: Counterfeit part prevention processes should consider: training of appropriate persons in the awareness and prevention of counterfeit parts; application of a parts obsolescence monitoring program; controls for acquiring externally provided product from original or authorized manufacturers, authorized distributors, or other approved sources; requirements for assuring traceability of parts and components to their original or authorized manufacturers; verification and test methodologies to detect counterfeit parts; monitoring of counterfeit parts reporting from external sources; quarantine and reporting of suspect or detected counterfeit parts. (In accordance to AS6147 & AS5553)

F. PRODUCT SAFETY, CONTRIBUTION, ETHIC AND BEHAVIOR:

CMF is committed to treating suppliers with fairness and integrity. CMF will emphasize competition without discrimination or deception, in a manner consistent long term relationships. The Supplier shall ensure that persons doing work under the organization’s control are aware of a) The Quality Policy. b) Relevant quality objectives. c) Their contribution to the effectiveness of the quality management system, including the benefits of improved performance. d) The implications of not conforming to the quality management system requirements. e) Relevant quality management system documented information and changes thereto. f) Their contribution to product or service conformity. g) Their contribution to product safety. h) The importance of ethical behavior.

1. QUALITY RECORDS RETENTION

Supplier’s product and process control and quality records both hardcopies and/or electronic, shall be retained at the supplier’s location or approved backup or storage facility for a minimum of fifteen (15) years, unless otherwise specified on the purchase order. The records shall be sufficient to determine the quality level of the production processes. These records shall include, but are not limited to, chemical and physical test results of raw material (if applicable) used in the manufacture of the items on the purchase order. Quality records shall be provided upon request by Certified Metal Finishing, Inc. or its customers.

Disposition of those records shall be destroyed in one or more method(s) based on the “type” of record.

“Type” is defined as hardcopy or electronic version

All hardcopies are to be physically destroyed either by the following method(s):

  1. burned, unless prohibited by local ordinance OR
  2. shredded, or torn up so as to destroy the record content of the documents or material concerned

Electronic: (Requirement is to perform Method 1 and 4 in-combination with Methods 2 or 3)

  1. Deletion
  2. Overwriting (with proof or re-write)
  3. Degaussing – Exposing to a powerful magnetic field to scramble the data, with multiple passes of the magnet over the storage media to make sure the records are properly destroyed. Once this method is used on the storage device, the device can no longer be used.
  4. Physically Destroying Storage – Actually, physically destroying the storage

All record disposition completion shall be recorded and have evidence of destruction to CMF.

Methods listed above are to prohibit outside factors from retrieving and viewing by process of destruction the records. Other methods of destruction are not listed, however alternative methods are to be approved by CMF, as long as intent is met and proof is obtained acceptable.

2. SUPPLIER CORRECTIVE ACTION REQUESTS

Supplier corrective action requests will be forwarded by Certified Metal Finishing, Inc. to a supplier when Certified Metal Finishing, Inc. quality assurance deems formal corrective action is necessary. The supplier shall give priority to analysis of the cause and proposed corrective action. It is mandatory that replies be received within the period indicated on the supplier corrective action request.

3. CERTIFICATE OF CONFORMANCE / ANALYSIS

The supplier shall provide, with each shipment, a certified statement that the items furnished on this purchase order meet Certified Metal Finishing, Inc. specification requirements as stated on the purchase order.

As many of the following items as possible, as it applies to the product being certified, are to be included on the certificate of conformance (C of C) or Certificate of Analysis (C of A):

  • Part or item name
  • Revision or date
  • Serial or lot numbers
  • Quantity of items
  • Purchase order number
  • List of specifications, grade, type, or value to which the product was purchased
  • Seller’s name and address
  • Analysis Results (C of A only)
  • Signature and title of recognized quality assurance representative

Acceptance of material at Certified Metal Finishing, Inc. is contingent upon receipt of a C of C or C of A containing the above referenced requirements.

4. RIGHT OF ACCESS

Certified Metal Finishing, Inc. Inc may conduct a survey and/or perform surveillance of the supplier’s quality management system to evaluate the degree of ability to comply with these and other applicable requirements, or assist in the resolution of quality problems. As necessary, a Certified Metal Finishing, Inc. customer, government or regulatory agency representative may accompany the Certified Metal Finishing, Inc. quality assurance representative

5. QUALITY SYSTEM REQUIREMENTS

The supplier’s quality system shall be in compliance with the current revision of AS9100, ISO 9001 or have a Certified Metal Finishing, Inc. approved quality system. Suppliers certified to AS9100 or ISO 9001 shall be evidenced by a third party certification.

6. QUALIFIED PRODUCTS LISTING (QPL)

The seller shall include with each shipment a certified statement that the items on this purchase order were produced by a currently approved QPL manufacturer. Indicate the name of the manufacturer and current QPL number on the statement. Material shipped from a distributor must be accompanied by a reproduced copy of the shipping document from the original manufacturer, or a certified statement, signed by a responsible official and contain the following statement: “Original shipping document from the manufacturer is on file at this facility and is available for review by Certified Metal Finishing, Inc. upon request.”

7. TEST REPORTS

A legible and reproducible test report shall be provided with each shipment. Each test report shall evidence compliance with the applicable drawing, specification and/or purchase order requirements and shall include the revision of the drawing and/or specification. The reports shall bear the signature and title of the responsible agent of the seller. When serialization of items has been imposed by the purchase order, such serialization shall be part of the test report.

  • Chemical Test Report (C of A)
  • Physical Test Report
  • Functional Test Report (defined as operative inspection, e.g. mechanical, electronic, hydraulic, etc.) – Destructive or Nondestructive.

8. CALIBRATION PROGRAM

The seller shall have established, and currently maintain, a calibration program in accordance with ISO 10012, ANSI Z540 or ISO 17025.

9. IDENTIFICATION OF LIMITED LIFE ITEMS

The seller shall identify each item, package or container of limited life material with the manufacturer’s date, storage temperatures, and special handling conditions, in addition to the normal identification requirements of name, part number, specification number, type, size, quantity, and manufacturer’s recommended shelf life. All material supplied must have, at a minimum, 75% of shelf life remaining. Material safety data sheets (MSDS) must be supplied with each shipment.

10. MATERIALS FOR USE IN PRODUCT REALIZATION

All materials listed on purchase order must have the following to be accepted by Certified Metal Finishing, Inc.

  • C of C and/or C of A with all the requirements of clause #3.
  • Material safety data sheets (MSDS) (latest revision)
  • Product data sheet (latest revision)
  • No broken, breached, opened or otherwise tampered with containers
  • Identification markings on each container specifying chemical/product name and part number along with manufacturer

11. CERTIFICATION OF CALIBRATION

Certification of calibration attesting to the accuracy of the items procured in this purchase order shall (if specifically requested) be supplied with each shipment. This certification must contain all test parameters necessary to demonstrate conformance to the manufactures specification and be traceable to NIST or international standards. The traceable standards must be available upon request.

12. SOLUTION ANALYSIS AND PROCESS TESTING

All solution analysis and process testing sources for AC7108 controlled processes shall be approved by CMF and meet one of the following requirements (AC 7108 sec. 3.5.2):

  1. They are a Prime customer approved laboratory
  2. MTL accreditation or any MTL recognized approval
  3. AC 7108/4 or AC 7108 accreditation
